Terms of Service

This is the agreement between you and Fernix LLC for using Undertone. We have tried to write it the way we write everything else: directly, without traps, and without pretending the app can do more than it can.

The short version. Undertone gives you a perspective on a conversation — not a verdict, not a diagnosis, and not advice you should act on without your own judgment. Subscriptions renew automatically until you cancel, and you cancel through the App Store, not through us. Only analyze conversations you have a right to analyze. If something goes wrong, our liability is limited to what you paid us.

1. Accepting these terms

By downloading, opening, or using Undertone (the "App"), you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the App. Our Privacy Policy is part of these Terms.

The App is provided by Fernix LLC, a limited liability company organized in the State of New Mexico, United States ("Fernix", "we", "us").

2. Who may use Undertone

You must be at least 13 years old to use the App. If you are under the age of majority where you live, you may use it only with the permission and involvement of a parent or legal guardian. By using Undertone you confirm that you meet these requirements and that you are not barred from using it under any applicable law.

3. What Undertone is — and what it is not

Undertone takes a conversation you import and produces an interpretation of it: compatibility signals, apparent interest on both sides, communication patterns, possible red and green flags, and suggested next steps. That interpretation is generated by an artificial-intelligence model.

Please take the following seriously:

• It is not therapy, counselling, or a medical or psychological diagnosis. It is not a substitute for a qualified professional. If you are struggling, please talk to one.
• It is not legal, financial, or safety advice, and it must never be used as evidence of anything about another person.
• AI output is fallible. The model can be confidently wrong, miss context, misread humour or sarcasm, and produce different readings of the same chat. Treat every result as one perspective to think with, not a fact about your relationship.
• Decisions are yours. You are solely responsible for what you do after reading a result, and for the consequences.

If you or someone else is in danger or in crisis, contact your local emergency services or a crisis line. Undertone is not built for that and cannot help.

4. Your licence to use the App

We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the App on Apple-branded devices that you own or control, for your own non-commercial use, in accordance with the Usage Rules in Apple's App Store Terms of Service. We reserve every right not expressly granted here.

5. Conversations you import

The conversations you bring to Undertone remain yours. We claim no ownership of them, and we use them for one purpose only: producing the analysis you asked for and returning it to you. We do not use them to train models, and we do not sell or share them. See the Privacy Policy for exactly what is transmitted and to whom.

You are responsible for what you upload. By importing a conversation you confirm that:

• you were a genuine participant in it, or you otherwise have the right to share it;
• you obtained it lawfully — not through a device, account, or backup you were not entitled to access;
• sharing it does not breach anyone's privacy rights, a confidentiality obligation, or a court order.

Undertone replaces participant names before sending a conversation for analysis, but that does not transfer responsibility. Analyzing someone's private messages without a right to them may be unlawful where you live, and it is not something we want the App used for.

6. Acceptable use

Do not use Undertone to stalk, monitor, harass, control, intimidate, or build a case against another person. Do not use it to analyze conversations obtained without consent. Do not attempt to reverse-engineer, decompile, scrape, overload, or circumvent the App or our servers, resell access, or use automated systems to submit requests. We may suspend or end access that breaks these rules.

7. Subscriptions and billing

Some features require Undertone Premium, a paid auto-renewing subscription sold through the App Store. There is no free trial — payment is due immediately when you subscribe.

Prices shown in the App are the authoritative ones and are displayed in your local currency, including any applicable tax. Prices vary by region and may change; the App will always show the current price before you buy.

How renewal works. Payment is charged to your Apple ID at confirmation of purchase. The subscription renews automatically for the same period at the same price unless you turn off auto-renew at least 24 hours before the current period ends. Your account is charged for renewal within 24 hours before the period ends.

How to cancel. Manage or cancel in Settings → your name → Subscriptions on your iPhone, or at any time from your Apple ID account page. Cancelling stops the next charge; you keep access until the end of the period you have already paid for. Deleting the App does not cancel a subscription. We cannot cancel it for you — only Apple can.

Refunds. Purchases are processed by Apple, so refunds are handled by Apple under its own policies, at reportaproblem.apple.com. We are not able to issue refunds directly. If you live somewhere that gives you a statutory right of withdrawal or cancellation, that right still applies and is unaffected by this paragraph.

8. Our intellectual property

The App, the Undertone name and logo, the website, and everything we wrote or designed for them are owned by Fernix LLC and protected by intellectual-property law. These Terms give you a licence to use the App, not any ownership of it. The analysis output produced for you is yours to use for your own personal purposes.

9. Third-party services

Undertone depends on services we do not operate — Apple, Vercel, OpenRouter, the AI model provider, and RevenueCat. Your use of the App is also subject to their terms where applicable, and we are not responsible for their acts, omissions, outages, or changes to their services.

10. Availability and changes

We may change, suspend, or discontinue any part of the App at any time, and we may add or remove features. We do not promise the App will always be available, uninterrupted, or error-free. If we discontinue a paid feature you are actively subscribed to, you may cancel through the App Store as described above.

11. Disclaimer of warranties

To the fullest extent permitted by law, the App is provided "as is" and "as available", without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment. We do not warrant that the App's analysis is accurate, complete, or reliable, or that it will meet your expectations.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you, and nothing here limits rights you have as a consumer that cannot be waived under the law where you live.

12. Limitation of liability

To the fullest extent permitted by law, Fernix LLC and its members, officers, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or relationships, arising from or relating to your use of the App — including any action you take, or do not take, because of an analysis result.

Our total liability to you for all claims relating to the App is limited to the greater of (a) the amount you actually paid us for the App in the twelve months before the claim arose, or (b) US$50.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

13. Indemnity

You agree to indemnify and hold harmless Fernix LLC from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the App, or your uploading of a conversation you did not have the right to share.

14. Termination

You may stop using Undertone at any time by deleting the App — remembering that deleting it does not cancel a subscription. We may suspend or terminate your access if you materially breach these Terms. Sections that by their nature should survive termination — ownership, disclaimers, liability, indemnity, and governing law — will survive.

15. Terms required by Apple

Because Undertone is distributed through the App Store, the following apply:

1. This agreement is with us, not Apple. These Terms are between you and Fernix LLC only. Apple is not a party to them, and Fernix — not Apple — is solely responsible for the App and its content.
2. Scope of licence. The licence granted in section 4 is limited to use on Apple-branded products you own or control, as permitted by the Usage Rules in the App Store Terms of Service.
3. Maintenance and support. Fernix is solely responsible for any maintenance and support for the App. Apple has no obligation to provide either.
4. Warranty. Fernix is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App to you; to the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the App.
5. Product claims. Fernix, not Apple, is responsible for addressing any claim by you or a third party relating to the App or your possession or use of it, including product liability claims, any claim that the App fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
6. Intellectual property claims. If a third party claims the App infringes their intellectual property rights, Fernix — not Apple — is solely responsible for the investigation, defence, settlement, and discharge of that claim.
7. Legal compliance. You represent that you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any US Government list of prohibited or restricted parties.
8. Third-party terms. You must comply with any applicable third-party terms when using the App.
9. Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce them against you.

16. Governing law and disputes

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-laws rules. You and Fernix agree that the state and federal courts located in New Mexico have exclusive jurisdiction over any dispute arising from these Terms or the App.

If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose law grants you the right to bring proceedings in your home courts and to the protection of mandatory local consumer law, this section does not take that away.

17. Changes to these Terms

We may update these Terms as the App changes. When we do, we will update the "Last updated" date above, and for material changes we will give notice in the App before they take effect. Continuing to use Undertone after a change means you accept the updated Terms.

18. General

If any provision of these Terms is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them to a successor in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement between you and Fernix regarding the App.
